1. Agreement to Terms

By accessing or using the FBR E-Invoicing platform (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and FBR E-Invoicing (“Company”).

2. Description of Service

FBR E-Invoicing is a cloud-based Software-as-a-Service (SaaS) platform that enables Pakistani businesses to:

• Create and manage digital invoices compliant with FBR regulations
• Submit invoices electronically to FBR via the DI (Document Integration) API
• Generate credit notes and manage customer records
• Produce sales reports and analytics for tax compliance
• Verify invoice authenticity through QR codes and FBR portal

3. Account Registration

3.1 Eligibility

You must be a registered business entity in Pakistan with a valid NTN (National Tax Number) to use the Service. The person creating the account must be authorized to act on behalf of the business.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading business information (NTN, STRN, business address) may result in account suspension.

4. Subscription & Payment

4.1 Plans & Pricing

The Service is offered under various subscription packages with different invoice limits, user counts, and features. Pricing is displayed on our website and is subject to change with prior notice.

4.2 Payment Terms

• Subscriptions are billed monthly or annually, depending on the plan selected
• Payment is processed securely via SafePay
• All prices are in Pakistani Rupees (PKR) unless stated otherwise
• Subscription fees are due at the beginning of each billing cycle

4.3 Subscription Renewal

Subscriptions automatically renew at the end of each billing period. You may cancel your subscription before the renewal date to avoid further charges.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to submit fraudulent invoices
• Attempt to gain unauthorized access to other accounts or our systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) to access the Service without our consent
• Transmit malware, viruses, or any harmful code
• Exceed the invoice limits of your subscription plan
• Share your account credentials with unauthorized individuals

6. FBR Compliance

6.1 Your Responsibility

You are solely responsible for the accuracy and legality of the invoice data you submit. The Service facilitates submission to FBR but does not guarantee acceptance of any invoice. You must ensure compliance with all applicable tax laws and FBR regulations.

6.2 FBR Credentials

You are responsible for obtaining and maintaining valid FBR API credentials (PRAL token). We encrypt and securely store these credentials but are not responsible for credential expiration or FBR policy changes.

7. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, trademarks, and documentation, belong to FBR E-Invoicing. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

8. Data Ownership

You retain ownership of all business and invoice data you upload to the Service. We claim no ownership over your data. However, you grant us a limited license to process your data as necessary to provide the Service.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with prior notice. We are not liable for downtime caused by factors beyond our control, including FBR system outages, internet disruptions, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “as is” without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the preceding 12 months
• We are not responsible for any tax penalties arising from incorrect invoice data you submit

11. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in fraudulent activity. Upon termination, you may request export of your data within 30 days. After 30 days, your data may be permanently deleted.

12. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes shall be resolved through the courts of Islamabad, Pakistan.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
